Price and Payment Policy

The prices of the products shall be those specified in the Specific T&Cs provided by Nishant Aromas Private Limited(the “Seller”). Unless otherwise stated in the Specific T&Cs:

• The Seller’s prices include standard packaging.
• Prices exclude GST, or any other applicable taxes, duties, levies, or charges imposed by law in any jurisdiction.
• Any such taxes, duties, or charges will be payable by the Buyer and will either be added to each invoice or invoiced separately.

Late Payment

In the event of a delay in payment by the Buyer beyond the agreed deadline:

The outstanding amount shall automatically accrue interest at a rate of **12% above the prevailing legal interest rate** in India, without the need for a formal notice or claim from the Seller.

Price Adjustments

Nishant Aromas Private Limited reserves the right to increase the prices specified in the Order Confirmation if the cost of goods from manufacturers or suppliers increases. In such cases:

• Nishant Aromas Private Limited shall promptly inform the Buyer of the price adjustment.
• The Buyer retains the right to refuse the Order. However, the Buyer waives any right to hold Nishant Aromas Private Limited liable for any loss or inconvenience caused due to the price increase or refusal to proceed with the Order.

Payment Terms

Unless otherwise specified in the Specific T&Cs:

• Orders shall be invoiced on the date of shipment.
• Payment shall be made in full within thirty (30) days from the date of invoice.

Invoice Complaints

Any dispute or claim regarding an invoice must be communicated to Nishant Aromas Private Limited in writing within eight (8) business days from the date of the invoice. Failure to notify the Seller within this period shall be deemed as the Buyer’s acceptance of the invoice in full.

Set-Off Exclusion

The Buyer expressly waives any right to offset payments due to Nishant Aromas Private Limited against any amounts claimed or allegedly owed by the Seller.
